Not doable. MIDI stores the notes and instruments to recreate the music, mpeg stores the actual sounds. This is why mpeg gets better quality. Unfortunately, to convert to midi youd have to figure out the actual notes played. A musician could do it, but software cant.

Well, this does have somethin to do w/ gameing, i need it for a game making system, but now my game has to be terminated if i cant do it, oh crap.

You might be able to get a musician to do it. You dont need much equipment, any musicial should be set up for it. MIDI keyboard and a soundcard with a MIDI port on it, which is pretty standard.
Or you could try and find the music you want in MIDI format, theres a lot of stuff on the internet and I'll bet google turns up something like what you need.
