Yes, there can be a loss of quality. Then again, when you go to a download site, you are rolling the dice. I've downloaded a song before where you can tell they simply downloaded a tape recording. Converting between formats does not help, either.
However, all of the ones I got off of Napster were good quality. I haven't tried to convert them to .wav files (no need to on my part), so I can't say too much about quality after conversion.
