The problem is that i cant cast magic resistance on him to lower it - he attacks my poor Aerie on sight (even invis) and his breat is still too much to be taken easy by her. Any demons/summons stuck in his entagle-like spell...

I was never a fan of the Priest spell, Magic Resistance, anyway. It is not a tactic, and thus not adaptable. I vastly prefer using the Mage spell, Lower Resistance. It is a level 5 spell, I assume either Aerie or Imoen in your party has it.
If not... time to backtrack a little and do a "little" scroll shopping. You can still exit the Elf City now by the way.
Edwin and Imoen are level 15+, excellent. They can use the level 3 spell, Animate Dead and call forth several Skeleton Warriors. They are 95% magic resistant, immuned to normal weaponary, physical damage resistance, immunity to psionics and mind spells, etc... ...
Use Mirror Image for Aerie( and both Edwin and Imoen) to minimise damage. Mislead is a good spell for her to use beforehand as well. Since Minsc is using the Silver Sword, get Aerie to Doom( level one Priest spell) the Dragon, while either Edwin, Imoen or Aerie again cast Greater Malison( level four Mage spell).
Use Aerie to cast Free Action( level 4 Priest spell) on Keldorn and Minsc before the fight, if they do not have Free Action by default already.
Whenever a party member is injured to half-life, gulp a health potion. Do not wait until it is too late.
Lastly, cast Haste on everybody, including the summons.
ADD] Oh, I forgot to mention this. Use your spellcasters to cast Ruby Rays of Reversal, Khelben's Warding Whips and Breaches to remove the Dragon's spell protections so that Keldorn and the summons can injure him.
