He is just flying so i can't talk to him(Elseramvin) and can't give the shroud either so what to do? Should i first visit stout mines/dragon spire?

You can't talk to Erathsmedor until you see him inside the Dragon Spire. I'd suggest you first go through the stout mines to get the dragon armor, so that you can shut off the bronze dragon within the Dragon Spire, which is a quest from Lord Barrenhawk at the town hall. Then go ahead and get through Dragon Spire. You'll see Erathsmedor, in a more talkative mood.

what happens if you wear the shoud?

You can't wear it but you can use it as a shield (+5 shield rating, weighs virtually nothing), I tried this and he still couldn't hear me LOL.
