It's somewhere in the starting area (prologue) in a warehouse or something. Although I came across another dead cat on my travels, don't know whats the use of that though.

The first dead cat can be found in the warehouse where you go downstairs to fight the goblins in Targos. It's in a barrel near the stairs.

Another dead cat can be found later in the game, in the Severed Hand.

You only need one, and even then, it's part of an alternate solution to a situation very late in the game. If you don't take the cat (or any of the human bodies you find later), it won't really have a big impact on the game.

The cat probaly belongs to the Cat lady. The three guys said they stole one of her cats to clean the wearhouse of rats. One of them talks like Kenny on South Park. I was starting to get annoyed running erronds but those three gave me some laughs and kept me going.
